Job Title: Legal Manager and Company Secretary
Work location: Dar es Salaam, Tanzania
Answers to (reports to): Managing Director
Private Agricultural Sector Support Trust (PASS Trust)
The main purpose of the job (job summary) is:
To assist the PASS Trust and its two subsidiary firms’ boards and leadership teams in designing, implementing, and sustaining high-quality governance. Provides a highly competent and comprehensive service to the Chair of the Board, Board members, and senior management.
The Main Responsibilities:
Managerial Support.
- Legal Compliance: Ensure that the company follows all applicable laws and regulations.
- Contract management includes drafting, reviewing, and negotiating contracts and agreements.
- Risk management involves identifying and mitigating legal risks linked with business activities.
- Litigation Management: Manage and oversee the litigation and dispute settlement processes.
- Legal Advice: Give legal advice to management and other departments.
- Policy Development: Create and implement company policies and processes.
- Conduct legal training seminars for staff.
- Corporate Governance: Ensure compliance with corporate governance norms.
- Regulatory Affairs: Work with regulatory organizations to manage regulatory filings.
Company secretary.
- Board Support: Organize and prepare agendas for board meetings and annual general meetings (AGMs), and ensure that minutes are properly documented.
- Compliance: Ensure that the PASS Trust and its subsidiary companies’ secretarial tasks are carried out in accordance with legislative guidance, including statutory filings within specified timeframes, as well as the documentation and records management of the firm and its Board members.
- Corporate Governance: Advise the board on corporate governance issues.
- Maintain corporate records, such as member, director, and secretarial registrations.
- Communication: Serve as a liaison between the board and the shareholders.
- Filings: Ensure that all statutory returns and paperwork are filed on schedule with regulatory bodies.
- Advisory Role: Provide guidance on legal and regulatory issues affecting the organization.
- Shareholder Relations: Manage shareholder correspondence and inquiries.
- Serve as the primary point of contact for legal counsel and board member insurers.
- Any other related duties assigned by the superior from time to time.
The Academic Qualifications:
- A bachelor of Laws (LLB).
- A master’s degree in law (LLM), ideally in corporate or business law.
- Admitted to the Bar (please include your roll number while applying for the position).
The Experience and Skills:
- A minimum of five (5) years of verifiable work experience in a similar function or related field.
