The purpose of the Job:

On behalf of the Bank, managing, creating, examining, and negotiating contracts and agreements Assure that all contracts protect the Bank’s interests and are compliant with all applicable laws and regulations. Collaborate closely with several departments, such as sales, management, and procurement, to offer legal counsel and assistance with contractual issues.

 

The Main responsibilities:

  • A vast range of contracts, including as memoranda of understanding, vendor contracts, partnership agreements, services and supply agreements, non-disclosure agreements (NDAs), and other banking business contracts, to be drafted, reviewed, and revised.
  • Determine any possible risks in the contracts and offer calculated strategies to reduce such risks.
  • Ensure that contracts adhere to applicable laws and company regulations and are unambiguous, enforceable, and compliant with the law.
  • Maintain a database of contracts to make sure the contracts that are saved are maintained up to date, and make sure that the signed contracts are appropriately archived and recorded.
  • Engage in contract talks with counterparties to get advantageous terms and conditions, and during the process, offer legal counsel and suggestions.
  • During contract discussions, collaborate with internal stakeholders to comprehend their goals and requirements.
  • Keep up with any law changes that may affect the Bank’s contractual duties.
  • Give senior management and other departments legal guidance on contract law and related topics.
  • Contribute to the creation and evaluation of standard contract templates and other legal papers pertinent to the Bank’s operations.
  • Help settle disagreements resulting from contracts and associated legal papers; if necessary, participate in arbitrations and court proceedings.
  • Creating legal opinions, studies, briefs, reports, and communications in addition to conducting in-depth legal research and analysis on extremely complicated or unique legal topics and questions.
  • Provide legal advice and oversee the drafting, negotiating, and evaluation of legal documents. Create new legal frameworks to address certain requirements or situations.
  • Oversee and take part in the Unit’s legal publication preparation.
  • Give legal counsel on a variety of institutional and procedural legal challenges.
  • Reviewing and preparing the contracts and other paperwork that the bank uses for business and sustainable financing, as needed.
  • Identifying legal risks related to the Bank’s operations and suggesting ways to mitigate those risks, including reviewing internal papers and procedures to make sure they are written in compliance with current laws.
  • Helping to draft and prepare different reports as instructed by upper management.
  • Help prepare legal demand letters for clients who don’t pay.
  • Take part in the staff’s legal education regarding all matters pertaining to the business and operations of the Bank. These could include helping them to recognize real securities, fraud, the legal ramifications of illicit recoveries, etc.
  • Complete all other tasks delegated to him or her by the line manager, and organize the reporting for the weeks and months.

Required Qualifications:

  • A legal degree (LL. B) from an accredited university.
  • Having a master’s degree will be beneficial in addition.
  • Admitted as a High Court Advocate.
  • Three (3) years of minimum job experience in a related field.
  • Solid experience in the drafting, reviewing, and negotiating of contracts.
  • Outstanding familiarity with all legal issues pertaining to the Bank’s activities
  • Outstanding communication and verbal skills in both English and Kiswahili.
  • Capacity to adjust and collaborate efficiently.
  • Problem solving requires both analytical and creative thinking.
  • Excellent interpersonal and relationship-building abilities, sensitive to the political, emotional, and attitude facets of corporate life.
  • Outstanding communication and negotiating abilities.
  • Outstanding ability to make decisions.
