The Job Purpose:

The Legal Manager – Contracts Management is in charge of managing the organization’s contract lifecycle, ensuring that all agreements meet legal requirements, corporate rules, and commercial objectives. The job include developing, evaluating, negotiating, and administering a variety of contracts, including as vendor agreements, client contracts, NDAs, and service-level agreements. The Legal Manager will also provide strategic legal advice to reduce risks and improve compliance in contract management processes.

 

The Principal Responsibilities:

The Contract Drafting and Review:

  • The draft, review, and negotiate a wide range of contracts, including vendor agreements, customer agreements, service contracts, NDAs, partnership agreements, and procurement contracts. Ensure that contracts align with the organization’s legal and business obligations.

 

 

Contract Negotiations:

  • To lead and manage discussions with third parties to secure favorable terms and reduce risks. Serve as a point of contact for internal stakeholders during contract negotiations.

 

Contract Risk Management:

  • To identify and mitigate legal and commercial hazards in contracts. Create methods to reduce risks and resolve contractual disputes or ambiguities.

 

Compliance and Legal Advisory:

  • To ensure that contracts conform with all applicable laws, regulations, and corporate policies. Give legal assistance to company teams on contract-related issues, including regulatory compliance.

 

Contract Lifecycle Management:

  • To implement and manage the contract management process, including deadlines, renewals, and obligations. Maintain a consolidated database for all contracts and ensure correct recordkeeping.

 

 

The Policy Development and Training:

  • Create and update contract management rules, processes, and templates to include best practices. Train internal stakeholders on contract management, compliance, and negotiation methods.

 

Stakeholder Management:

  • To resolve contract-related issues, collaborate with internal departments such as procurement, sales, finance, and operations. Serve as a liaison between the legal department and outside stakeholders, such as clients, vendors, and legal counsel.

 

The Reporting and Analysis:

  • To prepare regular reports on contract status, important metrics, and risk assessments for top management. Analytics can help you uncover trends and possibilities for process improvements in contract management.
  • A strong understanding of contract law and commercial terminology.
  • The excellent drafting, negotiating, and problem-solving abilities.
  • Proficient with contract lifecycle management systems and legal research platforms.
  • Excellent organizational abilities and attention to detail.
  • Effective collaboration with multiple stakeholders requires strong communication and interpersonal skills.
  • Capability to handle high-pressure situations while managing multiple priorities.

 

 Required Qualifications:

  • A bachelor’s degree in law (LL.B.) from a recognized university or institution.
  • A Master’s Degree will give you an advantage.
  • Admitted as a High Court Advocate.
  • A minimum of five (5) years of work experience.
  • Excellent grasp of all legal aspects relating to the Bank’s operations.
  • Excellent speaking and communication skills in both English and Swahili.
  • The ability to adapt and work cooperatively and effectively.
  • Problem-solving requires both creative and analytical thinking.
  • A strong litigation skills.
  • A strong relationship-building and diplomatic interpersonal abilities, as well as an awareness of the emotional, attitudinal, and political sides of business life.
  • The excellent negotiating and communication skills.
  • An excellent decision-making ability.
  • Be prepared to work long hours.
